You represent and warrant to IAMV that all of the information you have provided to us in your Application Form is true and complete. You authorize IAMV:

To provide the information you submit in your Application Form, to our third-party Lessor and/or strategic partners; provided, however, that if you are not approved for leasing or lease purchase by our third-party Lessor(s), IAM may submit the referenced information to our strategic partners.

You understand that our third-party Lessor and/or strategic partners may keep this information in accordance with their respective policies, whether or not your request is approved.

IAMV is neither a lender nor a Lessor and does not make loans or leasing or credit decisions in connection with you purchase or request for leasing. IAMV is not your agent and our services are administrative. Our third-party Lessor and/or strategic partners are solely responsible for their services to you. IAMV shall not be liable for any damages or costs of any type arising out of or in any way connected with your relationship/transaction with our third-party Lessor and/or strategic partners

If you obtain leasing or lease purchase services through our third-party Lessor(s) and/or strategic partners, IAMV will receive its compensation directly from the third-party Lessor and/or strategic partners. Your use of our Web site and/or services demonstrates your approval of this compensation arrangement.

Errors and Delays

IAMV is not responsible for any errors or delays in responding to an Application Form caused by an incorrect e-mail address provided by you or other technical problems beyond our reasonable control.

IAMV’ Liability

The Material may contain inaccuracies or typographical errors. IAMV makes no representations about the accuracy, reliability, completeness, or timeliness of the Material or about the results to be obtained from using the Web Site and the Material. The use the Web Site and the Material is at your own risk. Changes are periodically made to the Web Site and may be made at any time.

IAMV DOES NOT WARRANT THAT THE WEB SITE WILL OPERATE ERROR-FREE OR THAT THIS WEB SITE AND ITS SERVER ARE FREE OF COMPUTER VIRUSES AND OTHER HARMFUL GOODS. IF YOU’RE USE OF THE WEB SITE OR THE MATERIAL RESULTS IN THE NEED FOR SERVICING OR REPLACING EQUIPMENT OR DATA, IAMV IS NOT RESPONSIBLE FOR THOSE COSTS.

Disclaimer of Consequential Damages

IN NO EVENT SHALL IAMV, ITS SUPPLIERS, OR ANY OF ITS THIRD-PARTY LESSORS AND/OR STRATEGIC PARTNERS BE LIABLE FOR ANY DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, INCIDENTAL AND CONSEQUENTIAL DAMAGES, LOST PROFITS, OR DAMAGES RESULTING FROM LOST DATA OR BUSINESS INTERRUPTION) RESULTING FROM THE USE OR INABILITY TO USE THE WEB SITE AND THE MATERIAL, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT IAMV IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Indemnity

You agree to defend, indemnify, and hold harmless IAMV, its officers, directors, employees and agents, from and against any claims, actions or demands, including without limitation reasonable legal and accounting fees, alleging or resulting from your use of the Material (including Software) or your breach of the terms of this Agreement. IAMV shall provide notice to you promptly of any such claim, suit, or proceeding and shall assist you, at your expense, in defending any such claim, suit or proceeding.

User Information

IAMV may use the information it obtains relating to you, including your IP address, name, mailing address, email address and use of the Web Site, for its internal business and marketing purposes and may disclose information to third parties for such purposes as outlined in our Privacy Statement on this web site

Other Terms

The Web Site is based in Indiana. IAMV makes no claims the Materials are appropriate or may be downloaded outside of the United States. Access to the Materials (including Software) may not be legal by certain persons or in certain countries. If you access the Web Site from outside of the United States, you do so at your own risk and are responsible for compliance with the laws of your jurisdiction. This Agreement is governed by the internal substantive laws of the State of Indiana, without respect to its conflict of laws principles. By using the Web Site you agree that jurisdiction over the venue of any lawsuit shall be exclusively in the State and Federal courts sitting in the U.S. District Court for the Southern District of Indiana. If either party employs attorneys to enforce any right in connection with any Dispute or lawsuit the prevailing party shall be entitled to recover reasonable attorneys’ fees.

If any provision of this Agreement is found to be invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of this Agreement, which shall remain in full force and effect. No waiver of any term of this Agreement shall be deemed a further or continuing waiver of such term or any other term. Except where expressly provided otherwise, this Agreement constitutes the entire Agreement between you and IAMV with respect to the use of Web Site and any services we provide. A printed version of this Agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this Agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. Any changes to this Agreement must be made in writing, signed by an authorized representative of IAMV.
